Terms of Service

1. Acceptance of Terms
By accessing or using CommIQ ("Service"), operated by CommIQ, Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you are using CommIQ on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Service
CommIQ is a SaaS platform that helps licensed insurance agencies and agents track, reconcile, and manage commission payments from insurance carriers. The Service includes commission statement parsing, policy reconciliation, agent management, reporting, and related tools.
3. Eligibility
You must be at least 18 years old and a licensed insurance professional or authorized representative of a licensed insurance agency to use CommIQ. You represent that all information you provide is accurate and that your use of the Service complies with all applicable laws and regulations.
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Each organization account may have multiple users; the account owner is responsible for their users' compliance with these Terms.
5. Subscription and Payment
CommIQ offers subscription-based pricing. Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) upload false, inaccurate, or misleading commission data; (c) attempt to reverse engineer the platform, or scrape or extract data belonging to other organizations (you may export your own data at any time via the dashboard or your authenticated API key); (d) share account credentials with individuals outside your organization.
7. Data and Privacy
Your use of CommIQ is also governed by our Privacy Policy. You retain ownership of your data. By uploading data to CommIQ, you grant us a limited license to process and store it solely to provide the Service. We do not sell your data to third parties.
8. HIPAA and Sensitive Data
CommIQ may process protected health information (PHI) in connection with Medicare-related policy data. We will execute a Business Associate Agreement (BAA) with you before any PHI is loaded into the Service — email support@commissionstracker.io to request one. You are responsible for ensuring that your use of CommIQ complies with HIPAA and any other applicable healthcare privacy laws. Do not upload Social Security Numbers or other sensitive identifiers beyond what is necessary for commission tracking.
9. Intellectual Property
CommIQ and its original content, features, and functionality are owned by CommIQ, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.
10. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that commission reconciliation results will be complete or accurate. CommIQ is a tracking and reporting tool — it does not constitute financial, legal, or compliance advice.
11. Limitation of Liability
To the maximum extent permitted by law, CommIQ, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost commissions, lost profits, or data loss. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Termination
Either party may terminate the subscription at any time. Upon termination, your access will cease at the end of the current billing period. We may suspend or terminate your account immediately for material breach of these Terms. After termination, we will retain your data for 30 days before deletion.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
